BackKhaitan & Co advised Nexusmalls Whitefield Pvt Ltd, an affiliate of Blackstone Inc. and a SPV of Nexus Select Trust in relation to its proposed acquisition of Super Diamond Enterprises, post its restructuring and hiving of unrelated business. Super Diamond Enterprises owns and operates the popular ‘Diamond Plaza’, mall in Kolkata.
The transaction comprised of complex structuring issues, from conversion of partnership firm to a private limited company, carve out of non-transaction assets and various other commercial structuring aspects.
The Firm role includes conducting comprehensive legal due diligence on the Target including title, land use, regulatory approvals and leasing arrangements, identifying key risks and advising on mitigation strategies, and leading the drafting, review, negotiation, finalisation and execution of transaction documents.
