BackKhaitan & Co advised L'Oreal in relation to acquisition of majority stake in Innovist (Onesto Labs Pvt Ltd) from the promoter and existing shareholders of OLPL. Through this strategic acquisition, L'Oreal has widened its presence in the cosmetics and haircare sector.
Onesto markets its products in the personal care category under the primary brand name "Bare Anatomy", "Chemist at Play" and "Sunscoop" in and outside India.
The Firm assisted L'Oreal in undertaking legal due diligence on Onesto Labs Pvt Ltd and advising on structuring, documentation and negotiation of the transaction documents, which includes the share purchase agreement and a shareholders' agreement.
