Firm Matters

General Catalyst - Investment in Xflow

Khaitan & Co advised General Catalyst in relation to Investment in series A investment round (lead by General Catalyst) along with other existing investors in Xflow for a total consideration of approximately USD 16.6 million. Xflow is engaged in the business of developing cross-border payments infrastructure.

The Firm assisted General Catalyst in (a) conducting due diligence exercise on the wholly owned subsidiary of Xflow in India; (b) reviewing, negotiation, and finalisation of the share subscription agreement, shareholders’ agreement, and founder employment agreements; and (c) execution and closing related aspects of the transaction which, inter alia, included the review of documents in relation to the conditions precedent and closing, as well as tracking the completion of said conditions precedent and closing actions.
