Khaitan & Co acted as legal counsel to GEF Capital Partners in connection with its acquisition of a significant minority stake in Arya.ag, an integrated grain commerce and agritech platform, through a combination of primary and secondary investments aggregating ~USD 80 million. The transaction was structured as a mix of primary issuance and secondary share purchases, with a portion of the equity subscribed to new shares and a portion involving liquidity for existing shareholders.

The round was led by GEF Capital Partners, a private investment firm with a global focus on sustainability and climate-linked growth sectors, and Avendus Capital acted as exclusive financial adviser to Arya.ag.

Arya.ag operates integrated grain commerce platform, offering a combination of pre-harvest advisory, storage, instant finance and market linkages to agricultural producers. 

Arya.ag’s business model aims to bridge structural inefficiencies in Indian agriculture by enabling farmers and FPOs to make more informed decisions about when, where and to whom they sell their produce, backed by warehousing infrastructure, data insights and financial products.
