BackKhaitan & Co advised Nectar Lifesciences Ltd (Nectar) in relation to sale of business of manufacturing, distribution, marketing and sale of active pharmaceutical ingredients and formulations of the Nectar to Ceph Lifesciences Pvt Ltd (“Purchaser”), as a slump sale on a going concern basis; and sale, transfer and delivery of the assets of Nectar in relation to its menthol business (“Assets”) to Purchaser.
The firm advised Nectar on all legal aspects of the transaction including the structuring and documentation for the transaction.
